This Vendor/Seller Agreement (“Agreement”) is made between MintDownloads™ (“MintDownloads”, “we”, “us”, “our”) and any individual or entity who registers to sell digital products on www.mintdownloads.com (“Vendor”, “Seller”, “you”, “your”).

By creating a Vendor account, listing a product, or accepting payment through MintDownloads™, you agree to follow every rule in this Agreement.

We have written this Agreement in clear English so it is easy to understand, while keeping full legal protection for both parties.

1. ABOUT MINTDOWNLOADS™

MintDownloads™ is an all-in-one social marketplace for digital products. We connect creators and buyers in a secure and ethical ecosystem that promotes creativity, productivity, efficiency, success, and excellence.

Vendors may upload and sell approved digital products through our platform under the rules set in this Agreement.

2. ELIGIBILITY TO BECOME A VENDOR

To become a Vendor, you must:

Be at least 10 years old

Provide accurate registration details

Own or legally control the rights to every product you sell

Agree to follow all applicable laws

MintDownloads™ reserves the right to approve, reject, suspend, or terminate any Vendor account at our discretion for lawful reasons.

3. TYPES OF PRODUCT LICENSES VENDORS MAY OFFER

Vendors must choose one of the following license types for each digital product listed:

1. 3-Month License

Buyer may request and receive support for 3 months, while using the product, starting from your purchase date.

License automatically expires after 3 months unless renewed.

Suitable for short-term use, projects, campaigns, or trials.

2. 6-Month License

Buyer may request and receive support for 6 months, while using the product, starting from your purchase date.

License expires after 6 months unless renewed.

Suitable for medium-term commercial or personal use.

3. 12-Month License

Buyer may request and receive support for 12 months, while using the product, starting from your purchase date.

License expires after 12 months unless renewed.

Suitable for long-term professional use.

4. Extended License

Grants expanded usage rights beyond standard use.

May include:

Commercial resale usage

Multi-client usage

Unlimited project use

Must clearly define scope of extended rights in product description.

Vendors must clearly explain what buyers are allowed and not allowed to do under each license.

4. ACCEPTABLE PRICING STRUCTURE

To maintain fairness, transparency, and platform consistency:

3-Month License pricing must be lower than 6-Month and 12-Month licenses.

6-Month License pricing must be lower than 12-Month License pricing.

12-Month License pricing must be lower than Extended License pricing.

Extended License must always be the highest-priced license tier.

MintDownloads™ reserves the right to:

Recommend pricing adjustments

Require corrections if pricing is misleading or abusive

Remove listings that violate pricing standards

All prices must be clearly displayed in USD unless otherwise permitted by the platform.

5. PAYMENTS & MINTDOWNLOADS™ WALLET

Vendors may accept payments from buyers through:

All major debit and credit cards

Mobile money platforms

Approved cryptocurrencies

All payments are processed securely through MintDownloads™.

Deposit of Funds

Funds from confirmed sales are deposited directly into the Vendor’s MintDownloads™ Wallet.

6. WITHDRAWALS (PAYOUTS)

Vendors may withdraw funds from their MintDownloads™ Wallet:

To their registered mobile wallet

To their registered bank account

Withdrawals are processed within 3 days of confirmed payment, provided:

The transaction is not under dispute

No refund request is pending

The account is in good standing

MintDownloads™ may delay withdrawals if fraud, abuse, or suspicious activity is detected.

7. VENDOR PROTECTION PROGRAM

All Vendors are covered under the MintDownloads™ Vendor Protection Program.

This program protects Vendors against unfair loss of funds in accordance with the terms outlined in the MintDownloads™ Refund or Cancellation Policy.

Vendor Protection applies only when:

The Vendor has accurately described the product

The product matches what was advertised

The Vendor has complied with this Agreement

If a refund or dispute arises, MintDownloads™ will review the case fairly and make a final decision.

8. PRODUCT STANDARDS

Vendors agree that:

All products must be original or properly licensed.

Products must not violate copyright, trademark, or intellectual property laws.

Products must not contain malware, harmful code, or hidden tracking tools.

Products must not promote illegal, harmful, hateful, or deceptive content.

MintDownloads™ reserves the right to remove any product that violates these rules.

9. INTELLECTUAL PROPERTY RIGHTS

Vendors retain ownership of their original digital products.

However, by listing a product on MintDownloads™, you grant MintDownloads™ a non-exclusive, worldwide license to:

Display your product

Promote your product

Market your product

Distribute your product to buyers under your selected license

This license continues for as long as your product remains listed.

10. FEES & PLATFORM COMMISSIONS

MintDownloads™ may charge platform service fees or commissions, which will be disclosed in your Vendor dashboard.

All fees are deducted automatically before funds are made available for withdrawal.

11. TAX RESPONSIBILITY

Vendors are responsible for:

Reporting income

Paying all required taxes

Following tax laws in their country

MintDownloads™ does not provide tax advice.

12. LIMITATION OF LIABILITY

MintDownloads™ is not liable for:

Loss of sales

Technical interruptions

Buyer misuse of products

External hacking events beyond reasonable control

Our maximum liability will not exceed the total platform fees collected from the Vendor in the preceding 30 days.

13. TERMINATION

Either party may terminate this Agreement at any time.

MintDownloads™ may suspend or terminate Vendor accounts if:

Fraud is detected

Platform rules are broken

Upon termination:

Active sales may be paused

Pending withdrawals may be reviewed

15. ACCEPTANCE OF TERMS

By registering as a Vendor, listing products, or receiving payment through MintDownloads™, you confirm that:

You understand this Agreement

You agree to follow it

You accept all legal responsibilities under it
